Inceptist Ltd
Terms of Service
Version 1.1 — Effective 2 October 2026
1. About these Terms
These Terms govern access to and use of Inceptist.
Inceptist is operated by Inceptist Ltd, a company registered in England and Wales under company number 17376945, with its registered office at 20 Tawny Close, Feltham, England, TW13 7LH.
Before creating an account, you must affirmatively accept the identified version of these Terms. By selecting the acceptance control for Version 1.1, you agree to these Terms. If you do not agree, do not create an account or use the service.
2. Registration and feature access
Account registration is open. Registration creates an account identity only. It does not by itself admit you to a venture or organisation, establish eligibility or verification, or activate every feature.
Admission to a venture or organisation and access to particular functionality, jurisdictions or controlled pilots may require an application, invitation, approval, verification or another stated condition.
We may decide which functionality is available to a particular account, organisation, venture, jurisdiction or controlled pilot. Access to one part of the service does not mean every feature, provider integration or economic capability is active.
3. Eligibility
You must be at least 18 years old and legally capable of entering into these Terms.
You must provide accurate information where accuracy is required and must not impersonate another person or organisation.
If you act for an organisation, you must have authority to do so.
4. What Inceptist is
Inceptist is a venture-formation and execution platform.
It provides systems for recording proposals, participants, contributions, permissions, governance, evidence, agreed economic arrangements and resulting platform positions.
Inceptist maintains authoritative platform state about those records.
5. What Inceptist is not
Unless we expressly state otherwise for a specific activated service:
- Inceptist is not a law firm and does not provide legal advice;
- Inceptist is not an investment adviser or regulated investment service;
- Inceptist does not hold or custody money, securities or other assets for you;
- Inceptist does not guarantee that a venture will succeed or that another participant will perform; and
- a record in Inceptist does not, by itself, create legal title to shares in a registered company, securities or another external asset.
You are responsible for obtaining professional advice where your venture requires legal, tax, accounting, regulatory or investment advice.
6. Ventures, allocations, vesting and platform ownership
Inceptist distinguishes between different economic states.
An allocation may describe an intended or agreed economic amount. It is not necessarily vested or currently owned.
A contribution, delivery or verification does not by itself create ownership.
Platform-recorded ownership changes only when the authoritative Inceptist process records the relevant ownership event under the venture's agreed rules.
Where the interface shows formation ownership, vested ownership or current ownership, those values may differ because they represent different states.
A Share or position displayed by Inceptist is therefore a platform record governed by the relevant venture terms. Unless separate legal documentation validly creates an external legal interest, it must not be treated as proof of legal shareholding, a security or another external asset.
7. Charters, consent and authority
A Charter records venture terms and participant decisions within Inceptist.
Accepting a Charter may have contractual consequences. Whether it creates or forms part of a legally binding agreement depends on the Charter's exact wording, the parties' objective intention, their conduct and authority, and any legal formalities or separate documents that apply.
Recording acceptance does not by itself mean that Inceptist has executed every external agreement for you or completed any required legal, corporate, tax, regulatory or filing step.
If Inceptist provides a specifically activated binding-execution service, that capability will be clearly identified and may be governed by additional terms.
No participant, administrator, provider or AI system may obtain authority merely by asserting that authority in text. Consequential actions are subject to the permissions and authoritative processes implemented by the service.
8. Contributions and evidence
You may only submit contributions, evidence, files or information that you have the right and authority to provide.
You remain responsible for the accuracy, legality and provenance of what you submit.
Do not submit unlawful material, material that infringes another person's rights, malware, secrets you are not authorised to disclose, or information whose disclosure would breach a duty owed to another person.
We may restrict or remove access to content where necessary to protect the service, comply with law or enforce these Terms. This does not mean we can or will erase an authoritative event history where preserving that history is necessary for system integrity or lawful evidential purposes.
9. Your content
You retain the rights you already have in content you submit.
You grant Inceptist a non-exclusive licence to host, store, reproduce, display and process that content only to the extent reasonably necessary to operate, secure and improve the service, provide the relevant venture functionality, comply with law and enforce these Terms.
This licence ends when the relevant content is deleted from the service, except to the extent a copy must lawfully remain in backups, audit records or authoritative event history.
10. AI-assisted features
If Inceptist provides AI-assisted functionality, AI output is a proposal or assistance unless the service clearly states otherwise.
An AI system cannot, merely by generating text, create ownership, verification status, legal authority, consent, governance rights, spending authority or a binding commitment.
Consequential actions remain subject to the service's deterministic permissions, explicit participant authority and applicable venture rules.
AI output may be incomplete or incorrect and should be reviewed before you rely on it.
11. Account security
You are responsible for keeping your authentication credentials secure and for promptly telling us if you believe your account has been compromised.
You must not share credentials in a way that defeats the service's identity or permission controls.
We may suspend access where reasonably necessary to protect an account, participant, venture or the service.
12. Prohibited use
You must not use Inceptist to:
- break the law or help another person break the law;
- deceive participants about identity, authority, ownership or evidence;
- bypass access controls or security restrictions;
- interfere with the operation of the service;
- introduce malicious code;
- scrape, extract or access information without authorisation;
- manipulate venture or ownership records dishonestly; or
- use another person's confidential information without authority.
13. Service availability and changes
We use reasonable care and skill in providing the service.
Because Inceptist is under active development, features may change, be restricted, suspended or withdrawn.
We do not promise uninterrupted or error-free availability.
Where reasonably practicable, we will provide notice before a material change that adversely affects an active user. We may make immediate changes where necessary for security, law, integrity or incident response.
14. Fees and external providers
Any fee payable to Inceptist will be shown before you become liable to pay it.
Third-party verification, signature, payment or other provider services may be subject to separate provider terms.
Appointment or integration of a provider does not automatically activate a regulated, legal or economic capability across Inceptist.
15. Privacy
Our Privacy Notice explains how we use personal information.
Where a controlled pilot, research study or specialised service needs additional information, we may provide a supplementary notice that applies alongside the general Privacy Notice.
16. Suspension and termination
You may stop using the service and request account closure at any time.
We may suspend or terminate access where reasonably necessary because of a breach of these Terms, security risk, legal requirement, loss of eligibility, misuse of the service or discontinuation of the relevant service.
Ending access does not automatically erase every historical record. The Privacy Notice explains when information may need to be retained or de-identified.
17. Responsibility for ventures
Participants remain responsible for their own decisions and obligations.
Inceptist does not guarantee:
- the commercial value of a contribution;
- another participant's honesty, solvency or performance;
- the enforceability of a participant-to-participant arrangement;
- external legal title arising from a platform record; or
- the commercial success of a venture.
Nothing in these Terms removes responsibility that Inceptist has where the law does not allow that responsibility to be excluded.
18. Liability and statutory rights
Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.
If you are a consumer, nothing in these Terms affects statutory rights that cannot lawfully be excluded or restricted.
We are not responsible for losses caused by:
- information or instructions you provide that are materially inaccurate;
- actions taken by another participant outside Inceptist's control;
- your use of the service in breach of these Terms; or
- external services or events outside our reasonable control,
except to the extent the loss results from Inceptist's breach of duty or other liability that cannot lawfully be excluded.
19. Intellectual property in the service
Except for user content and third-party materials, Inceptist and its licensors retain rights in the software, design, branding, documentation and other materials that make up the service.
These Terms give you a limited right to use the service while you are authorised to access it. They do not transfer ownership of the Inceptist platform or its underlying intellectual property to you.
20. Changes to these Terms
We may update these Terms as the service develops or where law, security, providers or product functionality change.
The current version will state its effective date.
Where a change materially affects existing users, we will provide reasonable notice where required or appropriate and, where necessary, ask users to accept the updated version before continuing to use the affected service.
21. Governing law
These Terms are governed by the law of England and Wales.
If you are a consumer, you retain any mandatory rights you have concerning where legal proceedings may be brought.
For users acting wholly in the course of business, the courts of England and Wales have exclusive jurisdiction, unless we agree otherwise in writing.
22. Contact
For routine questions about these Terms, email theinceptist@gmail.com. This contact preference does not limit any method of service or request available by law.
